The Member has no obligation to indemnify an Indemnitee for damages or other expenses arising from allegations of property damage or personal injury to the extent that a court of competent jurisdiction makes a final decision, not subject to further appeal, that the Indemnitee engaged in negligence, gross negligence or willful misconduct, or intentionally caused such property damage or bodily injury.
